Spec AI Terms of Service

These Terms of Service (the Terms) are a binding agreement between Spec AI, the California-based business operating spec-ai.co and app.spec-ai.co (Spec AI, we, us, or our), and the business or other organization that accepts these Terms (Customer). They govern Customer's and its Authorized Users' access to the Spec AI websites, applications, product-intelligence catalog, artificial-intelligence features, generated documents, review tools, and related services (collectively, the Service).
By creating an account, accepting an order, or using the Service, the individual accepting these Terms confirms that the individual is at least 18 years old and is using the Service for business or professional purposes. An owner or other person accepting for Customer represents that the person has authority to bind Customer. An invited Authorized User agrees to comply with these Terms for that user's own access. If the required authority is absent or Customer does not agree, the Service may not be used.
1. Account and studio administration
Customer may authorize employees, contractors, clients, and other collaborators to use the Service (Authorized Users). Customer is responsible for choosing administrators, assigning appropriate roles, keeping account information current, and all activity under its accounts. Credentials may not be shared. Customer must promptly notify security@spec-ai.co of suspected unauthorized access.
A studio administrator may invite or remove Authorized Users and control Customer Content. Customer is responsible for obtaining any notices, consents, or permissions required before inviting a person or submitting that person's information.
2. The Service
Subject to these Terms and payment of applicable fees, Spec AI grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for Customer's internal professional design, architecture, sourcing, specification, and project workflows.
The Service may include project briefs, optional plan analysis, product search and comparison, recommendations, specification and cut-sheet generation, approvals, comments, schedules, exports, and administrative tools. Features, integrations, limits, and providers may change, be suspended, or be discontinued. No feature or integration is guaranteed unless a signed Order Form expressly identifies it as a commitment.
Optional Google Maps address suggestions
The Service includes optional Google Maps features and content for entering a known project street address. Use of these features and content is subject to the Google Maps End User Additional Terms of Service and Google Privacy Policy. Manual address entry remains available.
Use address suggestions only to enter the address you already know for the specific project, not to build a directory or retrieve unrelated place information. You must review the selected address and supply any unit or suite. Suggestions do not verify ownership, deliverability, jurisdiction, zoning or building-code compliance. Google may be unavailable or usage-limited. Misuse of Google Maps features may result in suspension of those features or access as appropriate under these Terms.
3. Customer Content
Customer Content means information or material submitted to the Service by or for Customer, including project and client details, plans, images, documents, URLs, product selections, specifications, comments, feedback, and generated documents that incorporate those materials.
As between the parties, Customer retains its rights in Customer Content. Customer grants Spec AI and its subprocessors a worldwide, non-exclusive license to host, copy, transmit, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and improve the operation of the Service; comply with law; and enforce these Terms. This license continues while the relevant Customer Content is retained for those purposes or as required by law.
Spec AI will not use Customer Content to train general-purpose AI models unless Customer separately gives express, revocable permission. Spec AI may use usage telemetry and deidentified, aggregated information that cannot reasonably identify Customer, an Authorized User, a client, or a project to operate, secure, measure, and improve the Service.
Customer represents that it has all rights, permissions, and lawful bases necessary for Customer Content and our processing instructions. Customer must not submit protected health information, full payment-card data, government identification numbers, biometric identifiers, highly sensitive personal data, export-controlled technical data, or information subject to special security requirements unless Spec AI has expressly agreed in a signed order or addendum.
4. Plans and AI processing
Plan upload is optional. If Customer uploads a PDF or image, the Service may extract text, page images, room names, project type, addresses, drawing references, and other visible facts and send relevant content to an AI subprocessor for analysis. Proposed facts remain suggestions until an Authorized User accepts them. Customer's direct input and corrections control over AI suggestions.
AI-generated content and recommendations may be incomplete, outdated, or incorrect. They are tools for qualified professionals, not architectural, engineering, legal, code-compliance, safety, accessibility, environmental, procurement, or other professional advice. Customer must independently review outputs and source evidence before relying on them.
5. Product information and recommendations
The Service may display product information from manufacturers, distributors, marketplaces, public sources, Customer submissions, and automated extraction. Sources may change information without notice. Spec AI does not warrant current price, inventory, geographic availability, lead time, shipping, warranty, code compliance, certification, sustainability, dimensions, color, finish, performance, suitability, or continued manufacture.
Public-source product facts, provenance, content hashes, quality states, and catalog acquisition, validation, publication, and audit records are Spec AI platform data rather than Customer Content merely because Customer views or selects a product. Closing a studio does not require deletion of independent shared-catalog or platform-security records, subject to applicable law and any personal-information rights. Spec AI does not promise a particular catalog size, source, category coverage, refresh cadence, rollback period, or continued availability of any listing.
Labels such as "match," "verified," "available," or similar terms describe the evidence and method shown in the Service; they are not guarantees. Customer must confirm critical information with the manufacturer or authorized seller and obtain samples, current technical documents, and professional review before specification, purchase, installation, or construction.
Third-party names, marks, images, and links belong to their respective owners. Their appearance does not imply sponsorship or endorsement. Third-party sites and transactions are governed by their own terms and privacy practices. Spec AI is not the seller, purchaser, shipper, contractor, or payment intermediary for third-party products unless a separate written agreement expressly says otherwise.
6. Shared review and approval links
Customer may create links that allow recipients to review specifications, product selections, or project information without a Spec AI account. Customer controls whom it invites and must not publish confidential links. Recipients may be asked for a name, email, decisions, and comments. Customer is responsible for providing appropriate notice to its clients and collaborators.
Links may expire, be revoked, or be disabled for security or inactivity. An approval recorded through the Service is workflow evidence only and does not replace any signature, authorization, professional seal, or formal approval required by Customer's contract or applicable law.
7. Feedback and network-level signals
Product ratings, comments, and concerns submitted within a studio are Customer Content and remain private to that studio unless Customer expressly chooses to contribute them. If Customer opts in, Spec AI may use only deidentified and sufficiently aggregated feedback for network-level product ranking or trend signals. Spec AI will not disclose the author, studio, client, project, or raw comment to another customer through those signals.
General suggestions about the Service that do not include Customer Confidential Information may be used by Spec AI without restriction or compensation.
8. Acceptable use
Customer and Authorized Users must not:
- violate law, contract, privacy, publicity, intellectual-property, database, or other rights;
- upload content or direct retrieval from a source without authority to access and use it;
- use the Service to bypass authentication, paywalls, robots controls, technical restrictions, or source terms;
- submit malware or probe, disrupt, overload, or circumvent Service security or usage limits;
- attempt to access another studio's information or derive identities from deidentified data;
- reverse engineer the Service except to the limited extent law prohibits this restriction;
- resell, sublicense, time-share, or provide the Service as a service bureau without written permission;
- use outputs to train a competing model or systematically replicate the catalog or Service; or
- misrepresent AI output, source-derived data, or an automated recommendation as professionally verified when it is not.
Spec AI may investigate suspected violations and suspend affected access when reasonably necessary to protect the Service, customers, sources, or third parties.
9. Confidentiality
Each party may receive nonpublic information that a reasonable person would understand to be confidential (Confidential Information). Customer Content is Customer Confidential Information. The receiving party will use Confidential Information only to perform or receive the Service, protect it using reasonable care, and disclose it only to personnel and providers who need access and are bound by confidentiality obligations.
Confidential Information excludes information that the receiving party can show was lawfully known without restriction, independently developed, rightfully received from another source, or publicly available without breach. A party may disclose information when legally required after giving advance notice where permitted and reasonable assistance at the disclosing party's expense.
10. Data protection and security
The Privacy Policy describes how Spec AI handles personal information. When Spec AI processes Customer Personal Data on Customer's behalf, the Data Processing Addendum applies and is incorporated into these Terms.
Spec AI uses safeguards designed for the nature of Customer Content. No system is completely secure. Customer is responsible for appropriate permissions, endpoint security, retaining source files and exports needed for its records, and avoiding prohibited sensitive data.
The Service is not an archival or backup service. Unless a signed Order Form expressly states otherwise, Spec AI does not promise backups, restoration of deleted or lost content, disaster recovery, an RPO, an RTO, uptime, support response times, maintenance notice, service credits, or any other service level. Capabilities offered by a third-party provider do not create a commitment from Spec AI to Customer.
11. Fees, trials, renewal, and cancellation
Plan prices, included seats and usage, billing cadence, overages, and any commitment appear at checkout or in an order form. Fees are exclusive of taxes unless stated otherwise. Customer authorizes Spec AI and its payment processor to charge the selected payment method for fees, taxes, and disclosed usage charges.
A paid subscription automatically renews for the same cadence unless Customer cancels before the renewal date. A trial converts to the displayed paid plan only when checkout clearly states the conversion and Customer affirmatively authorizes it. Customer may cancel through the billing settings or by contacting billing@spec-ai.co; cancellation takes effect at the end of the current paid term unless the order says otherwise. Fees are non-refundable except where the order, these Terms, or law requires. Plan-specific language presented at checkout controls over inconsistent general language in this section.
Spec AI may change pricing for a future renewal term subject to the disclosures or notice required by applicable law or the applicable order. Customer remains responsible for undisputed amounts. We may suspend paid features for overdue payment.
12. Ownership
Spec AI and its licensors own the Service, software, interfaces, models and prompts developed by Spec AI, documentation, branding, and all related intellectual-property rights. No rights are granted except the limited right to use the Service under these Terms.
Subject to Customer's rights in Customer Content and third-party rights in source materials, Customer may use generated specifications, schedules, and cut sheets for its projects. Generated output may not be unique, and similar output may be produced for others.
13. Copyright complaints
Spec AI responds to copyright and source-content complaints under its Copyright Policy. Spec AI may remove or restrict disputed content and terminate repeat infringers where appropriate.
14. Beta and free features
Features identified as alpha, beta, preview, pilot, evaluation, or free may be changed or discontinued at any time and are provided without service-level commitments. Customer should not use them for high-risk or production-critical decisions unless an order expressly permits that use.
15. Term and termination
These Terms begin when accepted and continue while Customer uses the Service. Customer may terminate by discontinuing use and canceling any paid subscription. Spec AI may suspend or terminate access for breach, nonpayment, unlawful use, security risk, operational necessity, discontinuation of the Service, or as otherwise permitted by law or an applicable order.
Customer should export needed information before termination using then-available features. After termination, access and export may cease, and Spec AI may delete Customer Content subject to applicable law, documented customer instructions, dispute or security needs, and any DPA that applies. Spec AI does not promise a post-termination export or recovery period unless an Order Form expressly provides one. Sections that by nature should survive, including payment, confidentiality, ownership, disclaimers, indemnity, liability, and dispute terms, survive termination.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, CATALOG, SOURCE INFORMATION, AI OUTPUT, AND BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SPEC AI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR PROJECT.
Nothing in these Terms excludes warranties that cannot lawfully be excluded.
17. Indemnification
Customer will defend and indemnify Spec AI and its affiliates, officers, personnel, and suppliers from third-party claims and resulting damages, judgments, settlements, and reasonable legal fees arising from Customer Content, Customer's instructions, Customer's products or professional services, violation of Sections 3 or 8, or Customer's infringement or unlawful processing of third-party rights. Spec AI will promptly notify Customer and allow Customer to control the defense, provided Customer may not settle by admitting fault or imposing obligations on Spec AI without consent.
Spec AI provides no indemnity unless a signed Order Form expressly provides one.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEC AI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES CUSTOMER PAID TO SPEC AI FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR A FREE SERVICE, SPEC AI'S TOTAL LIABILITY WILL NOT EXCEED US$50. CUSTOMER'S PAYMENT OBLIGATIONS AND LIABILITY UNDER SECTIONS 3, 8, AND 17 ARE NOT LIMITED BY THIS PARAGRAPH. NOTHING LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
19. Governing law and disputes
These Terms are governed by California law, without regard to conflict-of-law rules. The state and federal courts located in Santa Clara County, California have exclusive jurisdiction, and each party consents to those courts. Before filing a claim, a party will give written notice and a reasonable opportunity for good-faith business resolution. The prevailing party may recover reasonable attorneys' fees where permitted by law.
20. General
Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the assignee assumes the obligations. Customer may not assign to a direct competitor of Spec AI without consent. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.
Notices to Spec AI must be sent to legal@spec-ai.co. Operational notices may be sent electronically to Customer administrators. These Terms, an applicable order, and incorporated documents are the entire agreement and supersede prior proposals about the Service. If they conflict, a signed order controls, then the DPA for data-protection matters, then these Terms. Invalid provisions will be modified to the minimum extent necessary; failure to enforce is not a waiver. Headings are for convenience.
We may update these Terms. The updated version will state its effective date. We will provide notice or obtain renewed acceptance when required by applicable law or an applicable order. Continued use after the effective date constitutes acceptance where permitted.
